Direct Primary Care (DPC) Membership Agreement

This Direct Primary Care Membership Agreement (“Agreement”) is entered into between Midwest Healthcare & Wellness (“Practice”) and the individual listed below (“Member”). By enrolling in the DPC program, the Member agrees to the terms outlined in this Agreement.
1. Term of Agreement
The membership begins on the date specified below and continues for a period of twelve (12) months unless terminated in accordance with this Agreement. Members agree to a minimum three-month commitment. Written notice may be sent via email to
admin@midwesthealthcare.org or hand-delivered to the Medical Practice Director, Kary Hudspeth.
Early cancellation before the initial three-month commitment requires payment of the remaining balance of that period.
2. Membership Fees and Payment Terms
The Member agrees to pay a membership fee of $80 per month, due on the same day each month. Payments will be automatically charged to the payment method on file. A grace period of seven (7) business days is allowed for late payments. Services may be suspended for accounts over 30 days past due. Membership may be terminated for non-payment. By signing this Agreement, the Member authorizes automatic recurring billing for monthly membership fees.
3. Scope of Services
Membership fees cover access to the Practice’s Direct Primary Care (DPC) services for enrolled employees, including:
• Unlimited office & telehealth visits
• Same-day appointments
• Direct access via text, phone, or email
• Annual physical & wellness exam
• One full metabolic & hormone panel per year
• 20% off additional labs, X-Rays and other services
• 1 free IV per quarter
• Discounted in-home appointments
Membership fees do not cover services provided by third parties such as advanced imaging, specialist consultations, hospital services, prescription medications, or emergency care. Employees are responsible for all such costs.
This Agreement does not constitute health insurance and does not satisfy federal or state insurance mandates. Employees are encouraged to maintain separate health insurance coverage for services not provided by the Practice.
4. Refunds and Termination
Membership fees are non-refundable except where required by Missouri law or if the Practice
terminates the Agreement for reasons unrelated to non-payment or misconduct. In such cases, a pro-rated refund for unused membership time will be issued. The Practice may terminate this
Agreement with thirty (30) days’ notice for repeated non-compliance, abusive behavior, or unsafe clinical conduct.
5. Legal and Dispute Resolution
This Agreement shall be governed by and construed under the laws of the State of Missouri. Venue for any disputes shall be in Johnson County, Missouri. Both parties agree to attempt mediation prior to litigation. Each party shall be responsible for its own attorney’s fees unless otherwise determined by a court.
6. Privacy and HIPAA Compliance
The Practice will protect the Member’s health information in compliance with applicable privacy laws. The Practice’s Notice of Privacy Practices is available upon request and on the Practice website. Protected health information will not be disclosed without the Member’s consent, except as required for treatment, billing of external services, or by law.
7. Acknowledgment of Risks
The Member understands that medical care involves inherent risks and outcomes cannot be
guaranteed. The Practice is not liable for results outside its control, including complications or
progression of illness despite appropriate care.
8. Member Responsibilities
Members agree to follow all Practice policies, maintain current contact and billing information, and use membership services responsibly. Failure to do so may result in suspension or termination of membership.
9. Acknowledgment and Acceptance
By signing below, the Member acknowledges that they have read, understood, and agree to all terms of this Direct Primary Care Membership Agreement.
